Profile - Philip R. Smith Philip R. Smith Partner KPMG's Audit Committee Institute Philip R. Smith is the leader of KPMG LLP's National Audit Industry–Industrial Manufacturing. Smith has served as the lead audit partner on a number of Fortune 1000 accounts and has provided services in due diligence, US Securities and Exchange Committee reporting, forensics, and internal control advice to clients as well as assistance related to internal audit, Sarbanes-Oxley Section 404 compliance, advisory, and technical accounting advice, including assistance with the adoption of the International Financial Reporting Standards. Smith has been working with the Audit Committee Institute since 2007 and has led numerous roundtable discussions, peer exchanges, and audit-committee education sessions in addition to facilitating sessions at the National Association of Corporate Directors' annual summits. Profile - Robyn Bew Robyn Bew Director of Strategic Content Development NACD Robyn Bew is director of Strategic Content Development for the National Association of Corporate Directors (NACD). She focuses on driving innovation in NACD’s thought leadership, including NACD’s Blue Ribbon Commission reports, Director’s Handbooks, and other proprietary research workstreams. Bew also leads NACD’s Advisory Councils and other multistakeholder dialogues on governance topics. Before joining NACD, Bew was a principal at Tapestry Networks, where she was a leader of the firm’s work on corporate governance and board-shareholder engagement issues. Earlier in her career, she was a senior director at the Corporate Executive Board and a management consultant at Monitor Group. Bew has been a featured presenter at conferences, including for such organizations as the International Corporate Governance Network, the Institute of Internal Auditors, and the International Financial Risk Institute.
Profile - Cheemin Bo-Linn Cheemin Bo-Linn Audit Committee Chair, Sphere 3D Corp.; CEO and President Peritus Partners Inc. Cheemin Bo-Linn has been a board director and audit chair for companies in Canada, the United States, and Europe, and she is presently a director of SNOMED and Sphere 3D. She currently serves as CEO and president of Peritus Partners Inc., an analytic platform and business IT consultancy. Leveraging her expertise in digital transformation and technology, she was vice president at IBM and held other executive roles at various e-commerce, mobile, finance, and software companies. Bo-Linn was names 2018 "Directors to Watch" and inducted into the “Hall of Fame for Women in Technology,” was named the “Most Influential Silicon Valley Exec,” and among the “Top 100 CEOs in STEM.” She has been an invited speaker to the United Nations, Dow Jones, and British Chamber of Commerce. She is visiting professor on digital tech (AI, big data, cybersecurity) and marketing at the joint Columbia University, London School of Business, and Hong Kong University EMBA/MBA program.
Profile - Stephen Brown Stephen Brown Senior Advisor KPMG's Board Leadership Center Stephen L. Brown is a senior advisor at KPMG’s Board Leadership Center. Brown is the founder of The Edgerton Group, a boutique consulting firm that advises boards and management on critical corporate governance issues. Formerly, he was CEO of the Society of Corporate Governance and managed TIAA’s corporate governance group. Prior to TIAA, Brown practiced securities law at WilmerHale and Skadden and was an associate with Goldman Sachs. He has served as a judge for Corporate Secretary Magazine’s Corporate Governance Awards and the NYSE Governance Services’ Governance, Risk & Compliance Leadership Awards. He is a professor at the McDonough School of Business at Georgetown University. Heserves on several nonprofit boards, and is an elected public-school board member. League of Women Voters of Broward County, NACD Florida Chapter Jocelyn Carter-Miller is president of Tech EdVentures and SoulTranSync. Previously, Carter-Miller was EVP and CMO for Office Depot Inc. and before that she held executive roles with Motorola. Before joining Motorola, Carter-Miller was VP of Marketing and Product Development for Mattel Inc., where she achieved record sales and profits for Barbie. She is the coauthor of Networlding: Building Relationships and Opportunities for Success (2000). Carter-Miller frequently speaks at business, community, and women’s forums. She is a director of Principal Financial Group Inc., where she chairs the finance committee; Interpublic Group, where she chairs the nominating and governance committee; and Netgear Inc. She is the president of the nonprofit League of Women Voters of Broward County. Carter-Miller was named to the NACD Directorship 100 in 2013 and to Savoy’s list of the Most Influential Black Corporate Directors in 2016.
Profile - Rodney Chase Rodney Chase Director, Hess Corporation Andeavor Rodney Chase worked for BP over a 40-year career which covered all of the major businesses of the BP Group (exploration, production, gas, refining, and marketing). Chase worked at the group headquarters in the United Kingdom as well as in Europe, Australasia, and North America. He spent four years as group treasurer and chief executive of BP Finance and five years as chair/CEO of BP America before joining the parent company board. He served on the parent company board for 11 years, first as CEO of marketing and refining, then as CEO of exploration and production, and finally as deputy group chief executive. Chase is currently a director of Tesoro Corp. in San Antonio and of Hess Corp. in New York. He previously served as chair of Genel Energy PLC, Petrofac Ltd., Nalco, and CSC. In 2013, he was recognized as an honoree in the NACD Directorship 100.
Profile - Jim DeLoach Jim DeLoach Managing Director Protiviti, Inc. Jim DeLoach is a managing director with Protiviti Inc. His market focus is on assisting companies with improving corporate governance and integrating risk management with strategy setting, business planning, and performance management. DeLoach is the author of several books and he has published more than 300 articles. Widely quoted in the press, he has served on the COSO Advisory Council for 10 years and contributed to the development of several frameworks, including the 2013 update to the Internal Control—Integrated Framework and the more recent Enterprise Risk Management Framework update. DeLoach has delivered numerous presentations on governance and risk management matters to hundreds of companies and to groups in 30 countries. In 2017, for the sixth straight year, DeLoach was named to the National Association of Corporate Directors’ Directorship 100 list, recognizing him as one of the 100 most influential governance professionals in the boardroom community.

Epstein has a diverse transactional practice which includes strategic mergers and acquisitions and private equity transactions. Previously, Epstein was an investment banker at Credit Suisse.Recently, he was selected as a member of Law360’s Mergers & Acquisitions editorial advisory board. He is a member of the New York State Bar Association and the Association of the Bar of the City of New York.
Profile - John Hotta John Hotta Director Seattle Foundation, First Washington Robotics, NACD Northern California Chapter John Hotta is a corporate board director (independent director). He serves on the boards of the Seattle Foundation, FIRST Washington Robotics, and the NACD Northern California Chapter, particularly audit and nominating and governance committees. He also serves on the Advisory Committee of Kaiser Permanente Washington. Hotta began his career conducting artificial intelligence research at the RAND Corp. Then he spent more than 20 years in technology leadership roles at Microsoft, Accenture, and AT&T. In the past, he has served on the boards of Swedish HealthCare and Martha Graham. At Swedish, he was vice chair and served on the finance committee. He has also served on technology advisory committees. The Financial Times named Hotta as one of the Agenda Digital 50. He is an active leader in the Digital Directors Network and Ascend Pinnacle. Hotta is both an NACD Governance Fellow and an NACD Board Leadership Fellow.
Profile - Constance L. Hunter Constance L. Hunter Principle, Chief Economist KPMG LLP Constance L. Hunter serves as the chief economist for KPMG LLP. She has extensive experience analyzing how economic developments and inflection points affect asset prices and businesses. Hunter specializes in identifying linkages between developed and emerging markets and paradigm shifts brought about by disruptive technologies and mega trends. As an economic thought leader, she works alongside KPMG’s leadership team driving two main areas of focus: forecasting, planning, and strategy and relationship development and branding. She is also a frequent guest and co-host on major financial media channels, including CNBC, Bloomberg, and Fox Business, and is widely quoted in print media.

Laliberte provides clients with information systems security and IT audit services. Lam is also an independent director of RiskLens. He previously served as founder and president of ERisk, partner of Oliver Wyman, chief risk officer of Fidelity Investments, and chief risk officer of GE Capital Markets Services. Lam has been named the inaugural Risk Manager of the Year by the Global Association of Risk Professionals (1997), to the “100 Most Influential People in Finance” by Treasury & Risk magazine (2005, 2006, and 2008), and to the NACD Directorship 100 (2017). Profile - Mindy Lubber Mindy Lubber President, CEO, and Director Ceres Mindy S. Lubber is the CEO, president, and a board member of Ceres. She directs Ceres’ Investor Network on Climate Risk and Sustainability. She joined D&B as its CFO, becoming president and COO in 2007 and then chair and CEO in 2010, a position she held until her retirement in 2013. Mathew was a director of D&B from 2008 to 2013. Before coming to D&B, Mathew spent 18 years at Procter & Gamble. Mathew is a director of the Campbell Soup Co., where she chairs the audit committee; of Freddie Mac; of the International Advisory Council of Zurich; and of Shire PLC. She also is a past director of Avon Products Inc.
