The 2017–2018 NACD Public Company Governance Survey presents findings from our annual questionnaire that was in the field from June to July 2017. This report’s takeaways are drawn from the 587 public company responses received and are supplemented by data compiled by Main Data Group, a provider of executive compensation benchmarking and corporate governance data and analytics. This year’s survey offers great insight into how directors and boards view the next 12 months. Which major business trends do they expect will have the greatest impact on their companies? What are the areas where they hope to improve board performance next year? Which topics are the ones on which directors want to spend more time during board meetings? In addition, we assess how boards are currently engaging with management on the increasingly complex challenge of formulating strategy and drill down on the growing board imperative of corporate culture oversight.

Reports containing data from our private company surveys are published separately.

How Boards Can Use this Resource:

  • identify areas for improvement in current governance practices, as well as which issues they should keep top of mind, including industry disruption, shareholder activism, economic and political uncertainty, and risk oversight;
  • inform their philosophy for designing executive compensation plans;
  • benchmark their 2018 priorities; and
  • compare relative time allocation to fulfilling key board activities.

Relevant Audiences: Board members and corporate secretaries of public companies, especially board chairs, lead directors, and committee chairs.
