In brief:  The world in which boards operate has been transformed in fundamental ways, including a more complex, volatile, and unpredictable business environment; the proliferation of information; new opportunities and risks coming from technology, megatrends like demographic and environmental change, and unexpected sources of competition; new regulatory requirements; and greater levels of scrutiny from investors and other key stakeholders.  The Report of the NACD Blue Ribbon Commission on Building the Strategic-Asset Board lays out a roadmap that directors of any organization can use to develop a continuous-improvement plan to keep their board’s skill sets and processes in tune with the organization’s current and future needs.

How directors can use this resource: 

  • Use the report’s 11 recommendations as the basis for discussion at board and/or key committee meetings.
  • Assess their organization’s governance principles to ensure they are complete, up-to-date, and fully implemented.
  • Use the tools provided in the report’s appendices to inform and improve boardroom practices in seven areas, including board leadership and oversight responsibilities; board composition and succession planning; recruiting and onboarding new directors; board evaluation processes; continuing education for directors; tenure-limiting mechanisms; and communication with shareholders and stakeholders.
